تجاوز الذكاء الاصطناعي مرحلة كونه أداة مساعدة، وأضحى معززاً للنشاط الإداري لمدير الشركة التجارية. وهو ما يثير التساؤل عن أثر الاستعانة بالذكاء الاصطناعي على التزام مجلس الإدارة بالعمل على تحقيق مصلحة الشركة. إذ أن تدخل الذكاء الاصطناعي يثير إشكاليات مهمة منبعها طبيعته الخاصة. حيث يعتمد في عمله بشكل حتمي على مدخلات معينة، ولا يقتصر التحكم في مدخلاته وآلية عمله على مجلس إدارة الشركة بل يتعدد المتدخلون. من جهة أخرى، تثور إشكالية مهمة بشأن ما ينتهي اليه الذكاء الاصطناعي من توصيات، فإلى أي مدى يمكن لمجلس الإدارة الثقة بمخرجات الذكاء الاصطناعي، وكيف يتمكن من التحقق من أنها تحقق مصلحة الشركة. وفي ضوء عدم كفاية القواعد العامة الواردة في الشركات التجارية لمواجهة التحديات القانونية التي يثيرها تدخل الذكاء الاصطناعي في إدارة الشركة، فقد انتهى البحث الى ضرورة أن يضع المشرع الإماراتي قواعد قانونية خاصة تنظم التزامات المتدخلين في عمل أنظمة الذكاء الاصطناعي في الشركة، بما يضمن تحقيق واجب الولاء، وتضمن جودة المدخلات التي يعمل الذكاء الاصطناعي وفقاً لها، فضلاً عن وضع آليات قابلة للتطبيق بشأن المراجعة والرقابة على مخرجات الذكاء الاصطناعي.
