الملخص

هدف البحث الي تحليل أهمية الخصوصية والمعلومات السرية في عمليات التفاوض على العقود الأولية، وذلك بهدف فهم التحديات والمشكلات التي واجهت الأطراف في الحفاظ على خصوصيتهم وسرية معلوماتهم خلال عمليات التفاوض، واعتمد البحث على المنهج المقارن لدراسة المبادئ القانونية والإطارات المتعلقة بالسرية في التفاوض عبر مختلف التشريعات، ومن خلال التحليل الدقيق، سعى البحث إلى تقديم توصيات لتحسين الإطار القانوني وضمان التوازن بين حقوق الأطراف وضمان السرية خلال عمليات التفاوض، وقد توصل البحث إلى النتائج التالية: تباينت الأسس القانونية لالتزام السرية في الاتفاقيات التعاقدية وفقًا للسياق القانوني والنظام القائم في كل منها، حيث تم تحديدها في دولة الإمارات العربية المتحدة من خلال تقاطع القانون الإسلامي مع مبادئ القانون المدني. كما أظهر البحث أن التزامات السرية شملت جميع المعلومات والبيانات التي اطلعت عليها أحد الأطراف خلال عملية التفاوض، مثل الأسعار وخطط الإنتاج ووسائل الإعلان غير المباشرة.
